3. Engagement
3.1. Engagement: Refers to the formal agreement between OptiVend Solutions and the Client outlining the scope of services, deliverables, timelines, and terms of engagement. Each engagement is tailored to meet the specific needs and objectives of the Client, ensuring clear expectations and outcomes.
4. Intellectual Property
4.1. Intellectual Property: Includes all proprietary rights, including but not limited to copyrights, trademarks, trade secrets, and know-how, developed or used by OptiVend Solutions in the course of providing services to the Client. All intellectual property rights remain the exclusive property of OptiVend Solutions unless otherwise agreed upon in writing.​
5. Confidentiality
5.1. Confidentiality: Both OptiVend Solutions and the Client agree to maintain the confidentiality of all information exchanged during the engagement. This includes business strategies, financial information, customer lists, and any other proprietary or sensitive data disclosed by either party.
6. Limitation of Liability
6.1. Liability: In no event shall OptiVend Solutions, nor any of its officers, directors, employees, or affiliates, be liable to the Client or any third party for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the services provided.
7. Amendments
7.1. Changes: OptiVend Solutions reserves the right to amend these terms and conditions at any time without prior notice. The Client will be notified of any changes and is responsible for reviewing the updated terms.
8. Entire Agreement
8.1. Comprehensive Agreement: These terms and conditions constitute the entire agreement between OptiVend Solutions and the Client regarding the subject matter herein and supersede all prior agreements and understandings.
